We are currently seeking a Vice President/Executive Director to join the Loan Negotiations Group (“LNG”). LNG sits within the Transaction Execution and Risk Management team (“TERM”). TERM is part of Global Banking and Markets (Private) within Goldman Sachs and is part of the firm’s “first line of defence” in managing risk arising from debt financing transactions. This is a front line, client-facing position working with debt origination bankers and capital markets teams within investment banking to negotiate financing commitment papers, credit agreements and intercreditor arrangements for leveraged and investment grade debt transactions, select high yield transactions, bridges, emerging markets transactions, complex amendments and other similar products. In addition, LNG plays a lead role in structuring transactions and identifying risks and issues arising out of the broader transaction documentation, corporate structure, transaction process or jurisdiction.   The role will allow candidates to play a leading role in the largest and most complex leveraged and investment grade transactions in the market. Clients include financial sponsors, corporates and family offices. It is a dynamic, fast-paced and stimulating environment, with an emphasis on collegiality and teamwork. Responsibilities * Work with internal deal teams, capital markets teams and in-house and outside counsel to structure (in some cases, highly complex) transactions. * Lead negotiation of grids and financing documentation with sponsors and borrowers and/or other arranging banks and provide judgment as to whether documentary terms will clear the current market * Provide transaction management and help drive execution * Participate in syndication process, including dialogue with investors on structure/documentary terms and, if required, negotiate with borrowers/sponsors to make changes to address any investor concerns * Liaise with other internal stakeholders (particularly Legal and Credit) to ensure transaction risks are understood and signed off where required * Participate in internal credit committee approval processes (including in-person attendance, attendance at preparatory briefings and/or contributions to the formal credit committee memo) to ensure that the transaction and any related documentary and/or structural risks are fully understood Other focuses * Developing and managing relationships with law firms (both Bank and Sponsor/Borrower side) * Helping to build and manage relationships with Sponsors (and other Corporate Clients) so that negotiations are as constructive and efficient as possible * Following the evolution of the market and, where possible, helping to shape or influence the strategic direction of documentary terms and processes Requisite skillset/qualifications * Prefer 5-8 years’ experience in either a law firm or a similar team at a bank * Law Degree/GDL (or equivalent) * Strong technical knowledge especially regarding contractual analysis, intercreditor agreements, and structural/enforcement issues * Strong negotiation skills  * Excellent written and verbal communication skills * Strong commercial judgment and integrity * Strong organizational skills: able to manage multiple tasks and competing work streams and deadlines * Highly motivated and adaptable: ability to respond creatively and quickly in a fast-paced, high-pressure, changing environment * Ability to work within teams and co-ordinate consensus amongst a wide range of stakeholders
